End User License Agreement

This End User License Agreement (the "Agreement") is a binding agreement between you ("you") and Safe-Alert Limited ("Safe-Alert", "we", "us"), of 02, Behind CBN, New Iyin Road, Ado-Ekiti, Ekiti State, Nigeria, governing your use of the Safe-Alert mobile application, website, smart ring and related services (together, the "Service").
By downloading, installing or using the Service, you agree to this Agreement. If you do not agree, do not install or use the Service.
1. Critical Safety Disclaimer — Read This First
Safe-Alert is not an emergency service and is not a substitute for one. Safe-Alert does not operate, control, employ or direct any police force, ambulance service, fire service, hospital or other public emergency responder, and has no agreement obliging any such body to receive, read, or act on anything sent by the Service.
In an emergency, call the emergency services directly — 112, 199 or 767 in Nigeria, or the applicable number in your location. Do this first. Do not rely on Safe-Alert to summon help on your behalf.
What the Service actually does
- Sends alerts containing your identity and last known location to emergency contacts you choose, by SMS and push notification.
- Sends alerts to members of a private organisation or response team you belong to, where your organisation has enabled this.
- May notify Safe-Alert partner responders, who are private individuals participating in a limited pilot in some areas. They are not licensed emergency personnel, are not employed by Safe-Alert, and are under no obligation to respond.
- Shows you the publicly published police control-room number for your state, alongside the national emergency lines, with a button that opens your phone's dialler. This is a directory: you place the call. Safe-Alert never calls, texts or otherwise contacts the police, or any emergency service, on your behalf. These numbers are published by the Nigeria Police Force and may change or go unanswered; we do not control them and cannot guarantee anyone answers.
- Shares a live location web link while an alert is active, so that people who receive your alert may view your position.
What the Service does not do
- It does not dispatch police, ambulance, fire or rescue services.
- It does not contact any emergency service on your behalf, by call, SMS or any other means.
- It does not transmit your location into any emergency services system, call-handling platform, or public safety answering point.
- It does not guarantee that any alert will be delivered, received, read, understood, or acted upon by anyone.
- It does not guarantee that help will arrive.
The Service can fail
Alert delivery depends on things outside our control, including: mobile network and internet availability; GPS signal quality and accuracy; your device's battery, permissions and operating-system settings; Bluetooth connectivity to the Safe-Alert ring; third-party SMS carriers and push-notification providers; and whether the recipients of your alert are awake, reachable, able and willing to act. Location data may be inaccurate, delayed, or unavailable — particularly indoors, underground or in areas of poor coverage.
You must not rely on the Service as your only means of obtaining help in an emergency.
2. Licence
Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service on Apple-branded products that you own or control, as permitted by the App Store Terms of Service, or on Android devices as permitted by Google Play, for your personal, non-commercial use — except where your organisation has licensed the Service for its members.
You may not copy, modify, reverse engineer, decompile, sell, sublicense or distribute the Service, except to the extent such restriction is prohibited by applicable law.
3. Location Services
The Service collects and processes location data, including background location, in order to attach your position to alerts and to share a live location link while an alert is active. Background location collection is necessary for the Service to function when your device is locked or the app is not open — for example when an alert is triggered from the Safe-Alert ring.
You may withdraw location permission at any time in your device settings. If you do, alerts will be sent without location, which substantially reduces the usefulness of the Service. Our handling of location and other personal data is described in our Privacy Policy.
4. Your Responsibilities
- Call the emergency services yourself in any situation involving risk to life, health or safety.
- Keep your emergency contacts accurate, current, and aware that they have been listed.
- Keep your device charged, connected, and with the permissions the Service requires.
- Use alerts only for genuine safety situations, or clearly marked practice tests.
- Do not use the control-room or emergency numbers shown in the app for prank, false or malicious calls. Misuse of a public emergency line is an offence.
- Be at least 16 years old, or have the consent of a parent or guardian.
5. Subscriptions, Credits and Payment
Some features require a paid subscription (Safe-Alert Plus and equivalent plans). Subscriptions are billed through Apple, Google, or our payment provider, renew automatically unless cancelled, and may be managed or cancelled in your app-store account settings or by contacting us.
Free accounts include a limited allowance of SMS alert credits. When that allowance is exhausted and no subscription is active, SMS alerts stop being sent, although push notifications to contacts using Safe-Alert continue. It is your responsibility to know the state of your allowance.
6. No Warranty
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or uninterrupted or error-free operation.
7. Limitation of Liability
To the maximum extent permitted by law, Safe-Alert, its directors, employees and agents shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, nor for any loss of life, personal injury, loss of or damage to property, loss of data, or loss of profits, arising out of or relating to your use of or inability to use the Service — including any failure, delay, inaccuracy or non-delivery of an alert or of location data, and any act or omission of any contact, responder, organisation, emergency service or other third party.
Where liability cannot lawfully be excluded, our total aggregate liability is limited to the greater of the amount you paid us in the twelve months preceding the claim, or NGN 20,000.
Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under applicable Nigerian law.
8. Indemnity
You agree to indemnify and hold Safe-Alert harmless from any claim, loss or demand, including reasonable legal fees, arising from your misuse of the Service, your breach of this Agreement, or your submission of false or malicious alerts.
9. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach this Agreement, misuse the Service, or send false alerts. Sections 1, 6, 7, 8 and 11 survive termination.
10. Changes
We may update this Agreement. Material changes will be notified in the app or by email. Continued use after a change takes effect constitutes acceptance.
11. Governing Law
This Agreement is governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria shall have jurisdiction over any dispute, without prejudice to any mandatory consumer protections available to you where you live.
12. Apple-Specific Terms
The following apply where you obtained the Service from the Apple App Store:
- Acknowledgement. This Agreement is between you and Safe-Alert only, not with Apple. Apple is not responsible for the Service or its content.
- Scope of Licence. The licence granted is limited to use on Apple-branded products you own or control, as permitted by the App Store Terms of Service.
- Maintenance and Support. Safe-Alert is solely responsible for maintenance and support. Apple has no obligation to provide any maintenance or support.
- Warranty. Safe-Alert is solely responsible for any product warranties, whether express or implied. If the Service fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price; to the maximum extent permitted by law, Apple has no other warranty obligation whatsoever.
- Product Claims. Safe-Alert, not Apple, is responsible for addressing any claims relating to the Service, including product liability claims, any claim that the Service fails to conform to a legal or regulatory requirement, and claims arising under consumer protection or similar legislation.
- Intellectual Property. In the event of a third-party claim that the Service infringes intellectual property rights, Safe-Alert, not Apple, is solely responsible for the investigation, defence, settlement and discharge of that claim.
- Legal Compliance. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- Third-Party Beneficiary. Apple and its subsidiaries are third-party beneficiaries of this Agreement and, upon your acceptance, will have the right to enforce it against you.
